This Oryx Technologies Terms of Service (“Agreement”) is entered into by and between Oryx Technologies (“Oryx Technologies”, “we”, “our”, or “us”) and the individual or entity accessing or using our products or services (“Customer”).
Capitalized terms shall have the meanings set forth in Section 1, or in the section where they are first used.
1.1 “Authorized Devices” means those mobile, desktop, or other devices through which the Services can be accessed and used.
1.2 “Content” means all code, media, graphics, designs, documents, or materials created or uploaded by the Customer or its Users while using the Services.
1.3 “Documentation” refers to the technical and instructional materials made available by Oryx Technologies to the Customer and/or its Users, whether in printed or digital form, describing the use and operation of the Services.
1.4 “Services” means Oryx Technologies’ proprietary web-based software, platforms, tools, and applications, including downloadable desktop and mobile apps. Each Order Form will identify the specific Services subscribed to by the Customer.
1.5 “Order Form” means a written or electronic document executed by both Parties identifying the Services, features, or solutions to be provided by Oryx Technologies under this Agreement.
1.6 “Packages” or “Modules” means optional add-on features or integrations made available within the Services. These may be created by Oryx Technologies, the Customer, or third-party developers. Modules created by Oryx Technologies are supported as part of the Services, while third-party Modules are supported on a best-effort basis without warranty.
1.7 “User” means any employee, contractor, or authorized representative of the Customer who has been granted access credentials to use the Services.
1.8 “Services” also includes Oryx Technologies’ design platforms, hosted systems, and development tools used to build and manage digital products, solutions, or websites under the Oryx Technologies domain.
2.1 Services. Oryx Technologies hereby grants the Customer a non-exclusive, non-transferable license during the Term (as defined in Section 12) to: (a) use the Services and install any related desktop or mobile applications on Authorized Devices solely for the Customer’s internal business purposes in accordance with the Documentation; and (b) access and use Oryx Technologies’ hosted systems, web tools, and design software for the creation, deployment, or management of digital projects. All Services are delivered electronically.
2.2 Provisioning the Services. Oryx Technologies will provide the Customer with the necessary access credentials, security protocols, and network connections (“Access Protocols”) to enable authorized use of the Services. No other access to Oryx Technologies’ servers or systems is permitted.
The Customer shall manage and provision its Users to access the Services through the provided Access Protocols. The Customer may designate one or more Users as administrators to manage and oversee the Services on its behalf. The Customer is solely responsible for all acts, omissions, and activities performed by its Users under its account.
